These Terms & Conditions (“Terms”) govern your access to and use of the website cassontech.com and any related products or services (collectively, the “Services”) provided by Casson Technologies Inc. (“Casson Tech,” “we,” “us,” or “our”). By using the Services or by checking a box agreeing to these Terms, you accept and agree to be bound by them. If you do not agree, do not use the Services.
1. Who We Are
Casson Technologies Inc. is a U.S.-based company that provides AI-powered answering, messaging, and automation services to small businesses, including AI receptionist, missed-call text-back, after-hours coverage, and standalone AI Audits. Contact: support@cassontech.com.
2. Eligibility & Account
You must be at least 18 years old and authorized to bind the business you represent. You agree to provide accurate information and to keep your account credentials secure. You are responsible for activity under your account.
3. Description of Services
We offer subscription bundles (Essentials, Growth, Premium), one-time services (e.g., AI Audit), and showcase access to related software products. Specifications, included minutes, features, and pricing are described on our pricing pages and may be updated from time to time. We may use third-party tools — including GoHighLevel, Twilio, Stripe, Supabase, and Vercel — to deliver the Services.
4. Fees, Billing & Cancellation
- Subscriptions are billed monthly or annually in advance through Stripe. Setup fees are billed once at signup.
- Overage charges (where applicable) are billed at the rates listed on the pricing page and applied to the next invoice.
- Cancellation: you may cancel at any time. Service continues through the end of the current billing period and will not renew. We do not refund the unused portion of any billing period.
- Failed payment: we may suspend or terminate Services if payment fails after reasonable notice.
- Taxes: fees are exclusive of applicable taxes, which you are responsible for.
5. SMS / Text Messaging Program — A2P 10DLC Terms
Program description. Casson Technologies Inc. operates a business text-messaging program. By providing your mobile phone number to us — through a web form, verbal consent during a call, an existing customer relationship, or any other opt-in method — and by agreeing to receive text messages, you consent to receive SMS or MMS messages from us at the number you provide. Messages may include:
- Appointment confirmations and reminders
- Service updates, status notifications, and follow-ups
- Account, billing, and support replies
- Marketing messages and promotional offers (only if you separately consent to marketing)
Message frequency varies depending on your interactions with us.
Message and data rates may apply. Your mobile carrier may charge fees to send or receive text messages. Casson Tech is not responsible for those charges. Check with your carrier for details.
How to opt out. You can cancel SMS messages at any time by replying STOP to any text from us. After replying STOP, you will receive one final message confirming you have been unsubscribed and will not receive additional messages from that program. To rejoin, sign up again as you did initially or reply START.
Help. Reply HELP to any message for assistance, or contact support@cassontech.com.
Supported carriers.Carriers — including but not limited to AT&T, Verizon Wireless, T-Mobile, Sprint, Boost, U.S. Cellular, MetroPCS, Cricket, Google Voice, and Virgin Mobile — are not liable for delayed or undelivered messages.
Privacy. Mobile information collected through this program is handled per our Privacy Policy. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Text-messaging originator opt-in data and consent will not be shared with any third parties.
Eligibility. You represent that you are the subscriber of, or the authorized user of, the mobile number you provide and that you are at least 18 years old.
6. Acceptable Use
You agree not to:
- Use the Services to send unsolicited messages, spam, or any content prohibited by the TCPA, CAN-SPAM, CTIA guidelines, or any carrier policy.
- Send messages related to SHAFT-restricted content (sex, hate, alcohol, firearms, tobacco) without proper age-gating and carrier approval.
- Upload or transmit content that is unlawful, infringing, defamatory, harassing, or malicious.
- Reverse-engineer, scrape, or attempt to gain unauthorized access to the Services.
- Use the Services in any way that violates applicable law.
You are solely responsible for obtaining proper consent from anyone you message through any tool we provide and for complying with all applicable telemarketing and consumer protection laws.
7. Customer Content & Recordings
You retain ownership of your customer data, scripts, recordings, and other content you provide or that the Services generate on your behalf (“Customer Content”). You grant us a limited license to host, process, and transmit Customer Content as needed to provide the Services. Many U.S. states require notice or consent before recording calls — you are responsible for compliance in your jurisdiction.
8. Intellectual Property
The Services, including software, content, designs, and trademarks, are owned by Casson Technologies Inc. or its licensors and are protected by U.S. and international intellectual-property laws. We grant you a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms. No other rights are granted.
9. Third-Party Services
The Services may integrate with or rely on third-party providers (e.g., GoHighLevel, Twilio, Stripe, Google). Third-party services are governed by their own terms and privacy policies. We are not responsible for their availability or conduct.
10. Disclaimers
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT MESSAGES OR CALLS WILL BE DELIVERED, RECEIVED, OR HANDLED WITHOUT DELAY OR ERROR.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CASSON TECHNOLOGIES INC. AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
12. Indemnification
You agree to defend, indemnify, and hold harmless Casson Technologies Inc. from any claims, damages, and expenses (including reasonable attorneys’ fees) arising from (a) your use of the Services, (b) your Customer Content, (c) your violation of these Terms, or (d) your violation of any law or third-party right — including failure to obtain valid consent from anyone you message through tools we provide.
13. Termination
We may suspend or terminate your access to the Services at any time if you breach these Terms, fail to pay, or use the Services in a manner that risks harm to us, our other customers, our messaging carriers, or any third party. Upon termination, your right to use the Services ends immediately; Sections 5 (SMS), 7 (Content), 10 (Disclaimers), 11 (Liability), 12 (Indemnification), and 14 (Governing Law) survive.
14. Governing Law & Disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any dispute arising under these Terms will be resolved in the state or federal courts located in Delaware, and you consent to personal jurisdiction there. You and Casson Tech each waive the right to a jury trial.
15. Changes to These Terms
We may update these Terms from time to time. The “Effective” date at the top reflects the most recent revision. Material changes will be announced on the website or by email. Continued use of the Services after the effective date of an update constitutes acceptance of the revised Terms.
16. Miscellaneous
These Terms, together with our Privacy Policy and any order form or service description, constitute the entire agreement between you and Casson Technologies Inc. regarding the Services. If any provision is found unenforceable, the remaining provisions will remain in full force. Our failure to enforce any provision is not a waiver of that provision.
